What is the NDA Generator?

A non-disclosure agreement lets you share sensitive information with a supplier, contractor or investor while keeping it protected. Choose mutual or one-way, set the purpose and duration, and download a ready-to-sign PDF.

What an NDA does and does not do

A non-disclosure agreement is a contract in which one or both sides promise to keep certain information private. It is useful before you share a business idea, customer list, source code, pricing or plans with a contractor, supplier, investor or possible partner. It does not stop someone from remembering what they learned, and it cannot protect information that is already public.

Mutual or one-way?

In a one-way NDA only one party shares confidential information and the other promises to protect it. In a mutual NDA both sides share and both are bound. If you expect information to move in both directions, a mutual agreement is simpler and looks fairer, which makes it easier to get signed.

The parts that matter most

  • Definition of confidential information: specific enough to be clear, broad enough to cover what you will really share
  • Purpose: why the information is being shared, so it cannot be used for anything else
  • Exclusions: information that is public, already known, independently developed or lawfully received from someone else
  • Duration: how long the duty lasts. Two to five years is common, and trade secrets are often protected for as long as they stay secret
  • Return or destruction: what the recipient must do with the information when the relationship ends
  • Governing law: the state, province or country whose law applies

Common mistakes

  • Defining confidential information as everything. Courts may refuse to enforce an agreement that is too broad.
  • Forgetting the purpose, which leaves the recipient free to use the information any way they like
  • Setting no end date
  • Signing after the information has already been shared
  • Using an NDA to stop someone from reporting illegal activity or from using general skills and knowledge

Where the law differs

In the United States NDAs are governed mainly by state contract law, and some states restrict how far they can go with employees. In the United Kingdom, Canada and Australia, courts also look at whether the restriction is reasonable and protects a genuine business interest. The generator uses general wording and lets you set the governing law. For high-value deals or employment matters, have a lawyer review the final text.

Tips for better results

A mutual NDA is the fairest default when both sides will share information.

Define the purpose narrowly. Confidential information should only be used for that purpose.

Frequently asked questions

Is an NDA legally binding?

Yes, if it meets the usual requirements of a contract: the parties agree, there is something of value exchanged and the terms are lawful and clear. Signing it makes the agreement easier to prove.

How long should an NDA last?

Two to five years is common. Trade secrets are often protected for as long as they remain secret, so some agreements set a longer period for them.

Does an NDA need to be witnessed or notarised?

Usually not. Signatures of the parties are enough, and an electronic signature is generally accepted.

What is the difference between a mutual and a one-way NDA?

A one-way NDA protects one side's information. A mutual NDA protects both sides' information.

Can I use an NDA with an employee or contractor?

Yes, but employment law may limit what it can cover. Check the rules in your area, or ask a lawyer to review it.

Does an NDA stop someone using the idea?

It stops them from disclosing or misusing the confidential information as defined. It cannot protect public information or an idea they had independently.

What details do I need to fill in for the NDA?

The form asks for NDA Type, Disclosing Party, Receiving Party, Effective Date, Purpose, Confidentiality Period (years) and Governing Law (State / Province / Country). Everything starts with example text, so replace it with your own and check the preview as you type.

Is the nda generator legal advice?

No. The NDA Generator produces a general document from the details you enter. Laws differ by state, province and country, so check the rules that apply to you and have a qualified professional review anything important before you rely on it.
